Selling a property in South Africa involves a highly secure but unique legal framework governed by dedicated conveyancing attorneys, strict municipality clearances, and strict Exchange Control regulations. Whether you are an expat who has emigrated or an international investor disposing of a luxury estate in Cape Town, the legal process places significant financial compliance burdens entirely on the seller.

Because the vast majority of international vendors cannot travel to South Africa for the final exchange, South African property law allows you to complete 100% of the sale remotely.


1. The Tax Gatekeeper: Section 35A Withholding Tax

The most critical financial factor for an overseas seller in South Africa is Section 35A of the Income Tax Act. The South African Revenue Service (SARS) mandates that if a property’s sale price exceeds R2 million and the seller is a non-resident, the buyer (via the conveyancer) is legally required to withhold a massive percentage of the gross purchase price at the closing table:

  • 7.5% of the gross sale price if the seller is an individual (natural person).

  • 10% of the gross sale price if the seller is a foreign company.

  • 15% of the gross sale price if the seller is a foreign trust.

Important Strategy Note: This withholding amount is not your final tax; it is a security deposit against your eventual Capital Gains Tax (CGT). To prevent your cash from being locked up by SARS for months, your conveyancing lawyer must proactively apply for a Tax Directive (Form NR03) as soon as you sign an Offer to Purchase. If approved, SARS will lower the withholding rate to match your actual, true CGT liability before the sale closes.



2. Mandatory Pre-Transfer Compliance Certificates (COCs)

South Africa is unique for its strict “pre-transfer” property inspections. These inspections must be arranged and paid for by the seller before the Deeds Office will allow the property to change hands.

  • Electrical Compliance Certificate (ECC): Verifies that all wiring, circuitry, and distribution boards meet national safety standards.

  • Electric Fence Certificate: Required as a separate document if your property utilizes perimeter electric fencing.

  • Gas Compliance Certificate: Mandatory if your home uses gas-powered stoves, fireplaces, or water heaters.

  • Water/Plumbing Certificate: Explicitly required for properties located within the City of Cape Town municipality to guarantee there are no underground water leaks or municipal line infractions.

  • Beetle/Woodborer Certificate: Standard across coastal regions to prove the timber structures are free from wood-destroying beetles.



The South African Conveyancing Process: Step-by-Step


Step 1: The Offer to Purchase (OTP) and Attorney Choice

The sales process begins when a buyer signs a formal Offer to Purchase (OTP). Once accepted and counter-signed by you, this document legally becomes a binding Deed of Sale. In South Africa, the seller chooses the Conveyancing Attorney who will manage the transaction, even though the buyer is the one who traditionally pays the legal fees.


Step 2: International Signing Protocol (Rule 63)

Because you are signing the official transfer documents outside of South Africa, you must strictly follow Rule 63 of the High Court. To make your signature legally binding in South Africa, you must sign your papers in person at a South African Embassy or Consulate, or in front of a local public notary who must attach an official Hague Apostille stamp to the documents. The physical, stamped papers must then be couriered back to your conveyancer in South Africa.


Step 3: Municipal Rates Clearance

Your conveyancing attorney will apply for a Rates Clearance Certificate from the local municipality. To get this certificate, you are required to pay an “advance” on your local property rates, electricity, and taxes for 3 to 4 months ahead. This guarantees the municipality that the property transfers with zero debt. Any overpaid funds are automatically calculated and refunded to you roughly 6 to 8 weeks after the sale completes.


Step 4: Simultaneous Registration at the Deeds Office

The final transfer does not happen in a conference room. Instead, it is a highly synchronized administrative event that takes place physically at the regional government Deeds Office. On registration day, three actions occur simultaneously: your existing mortgage bond is cancelled, the buyer’s new mortgage bond is registered, and the property deed is formally transferred into the new owner’s name.


Step 5: Repatriating Your Funds Out of South Africa

The South African Reserve Bank (SARB) closely monitors all foreign capital movements. To successfully wire your funds into a UK, European, or US bank account, the bank requires clear proof of your non-resident status. If you still hold a local South African bank account, it must be officially designated as a “Non-Resident Account”.

To clear the international transfer, your conveyancer will provide your bank with the Final Settlement Statement, the registered Deed of Transfer, and a SARS Tax Clearance Certificate. Once cleared, the funds are safely converted from Rand (ZAR) into your local home currency.
